Subsurface Assets and Reserve-Backed Capital

Energy and resource assets are valued not by their revenue but by what is proven beneath the surface. Reserve-backed collateral lets an owner finance against the asset itself, not the cycle. We evaluate upstream assets on the quality of the subsurface data and structure leverage around what the reserve — not the spot price — can support.

An upstream energy or resource asset is, before anything else, a body of evidence about what lies beneath the surface. The cash flow that asset produces is a function of that evidence: the grade, the tonnage, the recovery, and the cost to bring it to market. Before we talk about financing, we talk about the data.

Why the reserve is the collateral

Reserve-backed financing treats the proven and probable reserve as the asset that secures the capital, rather than the commodity price at the moment of borrowing. This is structurally different from financing against spot-driven cash flow. A reserve is a multi-year inventory; a spot price is a daily quote. Lending or leveraging against the reserve produces a capital structure that can absorb price volatility without breaching covenants, because the repayment is underwritten against the ounces or barrels that will come out of the ground over the asset's life.

What we actually evaluate

Our upstream evaluation begins with the subsurface data workflow: core logging, RC chip logging, assay quality, and the reconciliation between the resource model and what the operation actually delivers. We look for assets where the resource model has been tested by production, not only by drilling. We pay close attention to the operating discipline underground — ore control, dilution management, and the way the mine plan respects the geology. An asset with a strong reserve and weak ore control is an asset that will under-deliver its model.

How this shapes the capital structure

Where the reserve is well-characterized and the operating team is disciplined, we are comfortable structuring leverage against the reserve rather than the cycle. This lets the business hold production through a low-price period without being forced to sell into it. It lets the owner develop the next phase of the resource without refinancing every time the spot price moves. The capital structure becomes a tool for holding the asset through its life, rather than a constraint that shortens it.

Reserve-backed capital is not leverage against a price. It is leverage against the ground. We underwrite the ground first, and structure the capital to match.
