Fortis Rivus Advances Water Infrastructure Platform Strategy

Fortis Rivus is actively evaluating a strategic partnership in the water and wastewater infrastructure sector — one that would pair proprietary engineering technology with our firm's capital, project execution capabilities, and operating platform.

Fortis Rivus is engaged in advanced evaluation of a potential strategic relationship in the water and environmental infrastructure sector. The proposed initiative reflects a core conviction at the firm: that essential water systems present a compelling opportunity for long-duration, differentiated investment — and that proprietary technology, paired with disciplined capital and genuine operating capacity, can serve as the foundation for a scalable infrastructure platform.

A Three-Part Framework

The structure under evaluation involves three integrated components. First, a staged capital partnership through a Fortis-controlled investment vehicle, providing growth and project capital subject to objective milestones. Second, a separately documented master technology license that would allow Fortis-controlled entities, project vehicles, and qualified partners to deploy the relevant engineering capability across present and future platform assets. Third, a platform deployment mechanism through which Fortis-acquired or Fortis-controlled operating businesses — spanning engineering, construction, operations, and environmental services — would commercialize and deliver projects at scale.

A foundational structural principle guides the framework: the investment instrument and the technology license would remain legally distinct, ensuring that the firm's technology access is durable regardless of future capital events.

The Investment Thesis

The central thesis combines a roll-up strategy with a proprietary deployment layer. Fortis would acquire or finance cash-flowing water and infrastructure businesses, then deploy the licensed technology through those businesses to expand project capability, improve competitive differentiation, and build a scalable water infrastructure platform. Capital would be deployed in tranches, released only upon verification of agreed technical, commercial, and governance milestones.

Return streams are expected to include interest, equity appreciation, project revenue, licensing economics, operating-company earnings growth, and eventual platform recapitalization or exit.

Platform Objectives

The commercial rationale is straightforward: establish a proprietary wastewater and infrastructure capability that sets the Fortis platform apart from a conventional services-company roll-up. The target end-market spans municipalities, utilities, and industrial customers — sectors where long-term contracts, public-sector relationships, and technical differentiation create barriers to entry and recurring value.

This initiative remains subject to full legal, technical, intellectual property, financial, and regulatory diligence, as well as the negotiation and execution of definitive agreements. No binding commitment has been made. Fortis will provide further updates as the evaluation progresses.
